Terms of Service

1. Scope

These Terms apply to all agreements between AVEDOX and creator users (hereinafter "Creator") who use the platform to manage song requests at live events. Conflicting terms of the Creator are not recognized.

2. Services

AVEDOX provides Creators with a web-based platform through which their audience can submit paid or free song requests. AVEDOX handles payment processing between viewers and Creators via Stripe. The service also includes real-time queue management, OBS overlay integration, and analytics.

3. Contract Formation

The contract is formed upon Creator registration and selection of the Pro subscription. By confirming registration, the Creator accepts these Terms.

4. Fees and Billing

AVEDOX charges a monthly platform fee that is offset against the Creator's earnings:

• Months 1–6: €99.99 per month (net, plus applicable VAT)
• From month 7: €199.99 per month (net, plus applicable VAT)

The platform fee is not invoiced separately but deducted from the Creator's monthly earnings. The billing date is the last calendar day of each month. If earnings do not exceed the platform fee, all earnings remain with AVEDOX; no negative balance arises. A payout to the Creator only occurs when monthly earnings exceed the platform fee. The surplus amount (minus any transaction fees) is paid out within 14 business days of the billing date.

Example: If a Creator earns €30 in the first month, those €30 remain entirely with AVEDOX. If they earn €150, they receive a payout of €50.01 (€150 − €99.99).

In addition to the platform fee, a percentage transaction fee applies to each individual viewer payment. The current rate is available on the pricing page.

The price increase from €99.99 to €199.99 takes effect automatically at the start of the 7th billing month. AVEDOX will notify the Creator at least 30 days in advance by email. The Creator may cancel the subscription before the price increase takes effect without incurring the higher fee.

A verified email address is required to subscribe. If the email address has not been confirmed, no subscription can be taken out.

Should payouts be blocked by the payment processor Stripe for reasons beyond AVEDOX's control (e.g. fraud investigations, sanctions list checks, technical issues), AVEDOX will notify the Creator immediately. AVEDOX is not liable for delayed payouts in such cases but will make reasonable efforts to resolve the situation. No late payment interest accrues during a Stripe-caused block.

5. Right of Withdrawal

As a consumer, the Creator generally has a 14-day right of withdrawal.

Expiry of withdrawal right: The Creator expressly agrees that AVEDOX will begin performing the contract immediately upon conclusion. The Creator acknowledges that they thereby lose their right of withdrawal once the service has been fully performed.

6. Creator Obligations

• Accurate information: The Creator must provide truthful information during registration and maintain a valid Stripe account for payouts.
• No illegal content: The Creator may not use the platform for unlawful purposes and bears shared responsibility for content submitted through their profile.
• Credentials: The Creator must keep login credentials confidential.

7. Usage Rights and Marketing

The Creator grants AVEDOX a non-exclusive, worldwide right to use publicly available content (e.g. profile picture, display name, song request statistics) for marketing purposes, including on social media, the website, and in promotional materials. This right expires upon termination of the contract.

8. Liability

• AVEDOX is not liable for service interruptions caused by force majeure, third-party server failures (Hetzner, Pusher, Stripe), or Creator actions.
• Liability of AVEDOX for slightly negligent breaches of duty is excluded, except for breaches of material contractual obligations or damages arising from injury to life, body, or health.
• AVEDOX assumes no liability for content submitted by viewers through the platform.

9. Cancellation

The subscription may be cancelled on a monthly basis. Cancellation must be received before the end of the current billing period and can be made via the Dashboard settings or by email. After cancellation, access remains active until the end of the current month. Earnings that do not exceed the platform fee by the cancellation date remain with AVEDOX.

9a. Termination for Cause

AVEDOX is entitled to terminate the contract without notice for good cause and immediately block the Creator's access. Good cause includes in particular: (a) the Creator submits illegal content or uses the platform for unauthorized purposes, (b) there is reasonable suspicion of money laundering or fraud, (c) the Creator repeatedly violates these Terms despite a warning, or (d) official orders prohibit continuation. The Creator will be notified of the block immediately by email. Any outstanding balance will be paid out unless legal obstacles (e.g. ongoing investigations) prevent this.

10. Changes to Terms

AVEDOX reserves the right to amend these Terms with 30 days' notice. Changes will be communicated by email. If the Creator does not object within 14 days of notification, the new Terms are deemed accepted.

11. Governing Law and Jurisdiction

The laws of the State of Delaware, USA apply, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers within the EU, mandatory consumer protection provisions of their home country remain unaffected. Place of jurisdiction for merchants is Newark, Delaware.

12. Severability

Should any provision of these Terms be invalid, the validity of the remaining provisions shall not be affected.
